Answer
a
shareholders need a professional independent third party audit the financial statement to ensure whether or not the Financial statement give true and fair view and compliance with law & ISA
b
To be honesty, managemet don't like external auditor, because auditor is the person who monitor them and report to shareholders; and audit don't have responsibility to remind management about the risk performance in the company, unless it's include in the engagement.
