Whats the difference between a Chairman and a CEO ( Cheif Executive Officer ) ?

I think Chief Exe. officer participates in business decision making and it the ultimate person to make any strategic change and govern other executive directors, and Chairman is more like a silent person who normally do no participate in decision making process, he is probably is a representative of the company to the media, external affairs....
P.S. I neva read it newhere bout dis,,what is said i purely what i think and common sense. Confirm it.

The Chairman is the head of the board and deals with the board committees and directors stuff. Very often the chairman is a non executive director.
The CEO runs the company and is involved with day to day business decisions.
i believe that the Chairman completes the performance appraisal for the CEO.

Chief Executive Officer (CEO) and Chairman
Mr Sheppard is both CEO and chairman of SGCC. Corporate governance indicates that the person responsible for running the company (the CEO) and the person responsible for controlling the board (the chairman) should be different people. I guess these differences will help.
The Chairman is a non executive director whiles the CEO is executive director.
The CEO heads the executive directors and is a member of the board goverining the co. , the chairman is the head of that board of governors.

I think all of you have put down most of the points.
I can think of one more difference:
The chairman is a member of the following committees:
a) an audit committee
b) a risk committee
c) a remuneration committee
d) a nomination committee
e) a finance committee
However the CEO is not a member of any of the committees mentione above.
Can any of you think of any more points?
the CEO represents the management whereas the chairman acts as the representative of shareholders
